Terms & Conditions

Terminology:

‘the Client’ – refers to You ‘Us, we or the company – refers to ADMUSE ‘Services’ – refers to our website, mobile applications and other products & services collectively.

1. What do both parties agree to?
The Client agrees to:
As our customer, you have the power and ability to enter into this contract on behalf of your company or organization. Provide the Company, everything including text, images, and access to other information that is requested from you to complete the project. (refer Photographs and Images) Review the project work, provide feedback, and sign off approval in a timely manner as agreed in the project document. Deadlines work two ways. The Client will also be bound by any dates that we set together. Adhere to the payment schedule setup. The Company will not be held responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved or signed off our work on-time at any stage. Customers own conditions of purchase or buyers standard conditions shall not apply unless accepted in writing in advance. Provide a minimum 48 hours notice from the date of invoice via email to [email protected] to initiate cancellation process (refer Cancellation of Services)

The Company agrees to:
Perform the services required by the Client in a professional and timely manner. Provide services or products which are listed on the invoice. Include the customer as one of its reference customers. However, on customer request Admuse undertakes to keep any confidential information about the customer. Make a reasonable number of revisions to the design, layout, colours, etc. until the Client is satisfied with the design or both parties come to an agreement, but no more than 2 major revisions. Any additional revisions or design work out of the scope of the project will be charged separately.



2. Website Development
The Internet environment changes rapidly and we can’t guarantee that the functions contained in any web page templates or in a completed website will always be error-free due to updates/upgrades by their respective vendors. The Company is not liable to you or any third party for damages, including lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate this website and any other web pages, even if you have advised us of the possibilities of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

Design,Coding, HTML and CSS Layout Templates:
If the project includes HTML markup and CSS templates, we’ll develop these using optimized PHP, HTML and CSS code. The landscape of web browsers and devices changes regularly and our approach is to look forward, not back. With that in mind, we will test all our markup and CSS in current versions of all major desktop browsers to ensure that we make the most of them. Users of older or less capable browsers or devices will experience a design that is appropriate to the capabilities of their software. We will also test that these templates perform well on different standard screen size devices and latest versions of the popular browsers.

Technical Support:
You may already have professional website hosting, you might even manage that hosting in-house; if that’s the case, great. If you don’t manage your own website hosting, or your current hosting environment does not support the solution we are providing, we can set up an account for you at one of our preferred, third-party hosting providers. We will charge you a one-off fee for installing your site on this server, plus any statistics software such as Google Analytics, then the updates to, and management of that server, plus any support issues will be up to you.

The Company might have written a hundred blog posts but we’re not responsible for writing or inputting any text copy unless we specified it in the original estimate. However, the Company will be happy to help. In addition to the estimate, our standard copywriting or content input rate will be applicable.

Legal stuff
In case of any dispute arising under these terms & conditions or in relation to any services performed by Admuse for the client, will be settled in & are subject to Court of Pune Jurisdiction (Maharashtra) only.

Changes and Revisions
If the Client wishes to change their mind, add extra pages or templates or even add new functionality, that won’t be a problem. However, you will be charged accordingly and these additional costs will need to be agreed to before the extra work commences. This additional work will affect deadlines and they will be moved accordingly. The company can request you to put in writing just to keep track of changes. If the nature or functions of the project change significantly throughout the process. The Company reserves the right to deem the current project canceled. At this point, the Client will pay us in full for all the work done and may commission us to complete the new project based on the new requirements. This will require a new quote and contract.



3. Payment Terms
We are sure you understand how important it is for a business that you pay the invoices that we send you promptly. Also, you agree to stick tight to the payment schedule. Any change requests or updates after project completion and free support period, the client will be charged at our standard hourly rate. The customer has to pay a settlement within the due-date of the invoice. After the invoice due date Admuse has rights to charge a late fee at 5% per day. Admuse reserves the right to stop work until payments are received. In case the customer fails to pay all dues including any interest within 2 month from the date of invoice Admuse reserves rights to forfeit all the advances received. In case of cheque bounced or rejected, an inconvenience charge: ₹5000 is applicable to the clients (in India). For more and payment methods available, please contact [email protected]



4. Photographs and Images
Any images that the client supplies must be in digital format, with appropriate resolution that will allow images to be resized and used on screen. Traditional photographs that require scanning are accepted. However, additional costs may be incurred due to time spent on scanning and retouching images. Costs may vary based on projects and number of images involved. Our standard discovery rate is applicable if the client requests the company to search appropriate photographs or obtain any images from third party photographers or stock photography. The client agrees to provide us with everything that is needed to complete the project – including text, images, and other information as and when needed and in the format the company asks for.



5. Copyrights
The client assure that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to the Company for inclusion in their website, or other design, are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend the Company and its subcontractors from any liability (including solicitors fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client. The company can request evidence of ownership or permissions, if need be. After the final payment, copyright is automatically assigned as follows: The client owns the graphics and other visual elements that the Company creates for them for their project. A copy of all files is shared with clients & files expected to be stored safely by the clients as the company does not require to keep them or provide any source files that the company uses to make them. The client also owns text content, photographs and other data provided unless someone else owns them. The Company owns the markup, CSS and other code. And license it to the clients for use on their project only. The Company loves to show off the work done and share what’s learned with other people. Therefore, the Company reserves the right to display and link to the clients completed project as part of Company portfolio and to write about the project on websites, in magazine articles and in books about web design.



6. Hosting
All our websites are hosted on world-class AWS Cloud with lightning fast SSD Servers. On request, exact specification details are freely available for all our clients.



7. Liability
In case, the client has been late in supplying required material, or has not approved or signed off work on time, at any stage, Admuse will not be held liable for any missed launch date or project deadline.



8. General
Collection Cost: In the event that we incur legal fees, costs and disbursements in an effort to collect our invoices, in addition to interest on the unpaid balance, you agree to reimburse us for these collection costs. The Company is not liable to send any person onsite under the sales of any products or services, however, if needed all expenses like transportation cost, cost of the stay, insurance, etc. should be payable by the customer.

Admuse reserves the right to add, delete, or modify any provision of these Terms and Conditions at any time without notice. Failure to receive notification of a change does not make those changes invalid.
